Notice of AGM on 15:08 - May 8 by RAFCBLUE | The Dale Trust article last evening suggests an email to members but I have not received anything yet. Has anyone else? What is the actual resolution that is being proposed? |
“ Resolution That David Bottomley be and is hereby removed from office as a director of the Company. That Graham Rawlinson be and is hereby removed from office as a director of the Company. The resolution will be voted on by Shareholders on the evening. The Trust retains a 12,625 shareholding in the Club which equates to around 2.4% of the overall shares, and as a body, the Trust will be voting the way that the Trust membership instructs them to vote following a ballot of members.”

Has this resolution been amended since the original call for an EGM? I was under the impression the original call was for all directors to be removed [Post edited 9 May 2021 20:31]

Ah, thanks I've posted about how i thought the Trust had made an error in targeting all the board members.* Since it now appears they aren't, it would've been appreciated if this had been corrected earlier; i don't mean by you, but by whoever formulated the resolution (amended or not) * I should add, it was 49th who first made this point Major edit: unless, of course, the resolution has only just been amended today... Notice of AGM on 21:18 - May 9 with 1683 views | 49thseason | It would be useful to the transparency issue if the Directors could give statements about other companies they are involved in for example Andrew Kelly and David Flitcroft appear to be the 2 Directors of JF Foundation which seems to be the British office of a Singaporean building company or the john Flitcroft foundation which is register as being sports related. And are there any areas of conflict of interest? And what is the pupose of the Denehurst Park Company that they are all still Directors of when it seems that the DP accounts are now part of the RAFC annual submission? Maybe someone could ask the Finance Director about the state of the current balance sheet and what the forward view for the next 12 monthe looks like... a single word answer would suffice. Eg difficult , OK , grim, fine etc. But the more 5hat can be teased out the better. And what is their estimate for Season ticket sales for next season? And how much money has the lottery raised in the last 12 months and what is the estimate for the next 12 months? How many non-playing staff have been appointed inmthe last 12 months and how much have any such appointments added to the overall salary bill? What plans do the Board have to increase the amount of income from non-football related activities? The more questions that can be asked regarding the role of Board members the better, particularly if they relate to their areas of responsibility. This does 2 things, it reveals if they have a grip and if they have actual numbers (targets to most people) that they are attempting to achieve. [Post edited 9 May 2021 21:27]

Notice of AGM on 21:22 - May 9 with 1673 views | James1980 | Weren't the club concerned if Bottomley and or Rawlinson get voted off the board. The board could end up with below the required number of four directors.

Yes the minimum is 3 I think but that does not preclude the possibility of appointing 2 or more new Directors at the meeting perhaps on a temporary basis until new directors prepared to put their £25 k into the pot can be found. Ideally a couple of directors who have served previously and already have the requisite number of shares might step up to the plate on a time - limited basis. Or maybe the trust already have a couple of people in mind?

Only if there were no-one waiting in the wings to augment the board, who had the confidence of sufficient shareholders Perhaps the *new* resolutions have been formulated with this in mind At least there appears to be something happening behind the scenes, rather than nothing. I'm sure it can be appreciated that keeping cards close to chests is in the best interests of a successful outcome

I don't know but wasn't there something about possibly ending up below the number of directors required for the board? Apologies for getting the number wrong.

Perhaps you haven’t got it wrong James. But the last set of articles made available state a minimum recommended number on the board of 7 and a maximum of 15. So, have the articles been amended and not disclosed, or has the board operated below the requisite number anyway? And if so, why use number as a Defence? The articles also allow for the board to co-opt directors onto the board, subject to shareholder approval at the next AGM.

Maybe that's what I was after cheers DA. Will it be possible for additional directors to join the board prior to the vote on the Trust's resolutions?

It’s a first step. It should make it more straightforward for the CEO to be held to account if he is not a director.
