Matt Southall has written to the club to ask them to cancel Wednesday's EGM:
Dear Sirs
We are happy to enter positive discussions with the Board. We suggest a meeting next week.
Unfortunately, the Board has initiated an EGM with the sole intention of seeking to dilute our shareholding. We have taken legal advice upon that process and the Board will receive correspondence from our Solicitors within the next 24 hours.
The correspondence will insist that the Board sends notice to all shareholders of the cancellation of the EGM on Monday 4 October.
If the Board try to proceed with the EGM, we are advised by the lawyers to start legal proceedings in The High Court to obtain an Injunction on Tuesday to ensure that the meeting does not proceed. We do not want to do that, but if the Board do not cancel the meeting, we will, and will also seek an order that the Directors who initiated the EGM pay the costs.
I stress that this is not a route that we want to take, but if the Board refuse to act in a co-operative manner, we will be left with no choice. The decision to call an EGM was a poorly conceived and unhelpful tactic which individual Directors will be held to account for, if they chose to proceed.
The best starting point for a constructive discussion is for the Board to immediately — this weekend — cancel the EGM. We will see this as a very positive and sensible move; and we can sit down and talk next week to explore all options with the Board. A pre-condition of commercial discussions with the Board, is confidentiality. You will understand that placing commercial discussions into the public domain is very unhelpful.
We are keen to reach a solution as soon as possible. We are sure that positive discussions can take place in the next week or shortly thereafter, so long as we can undertake the discussions without the need to tell the lawyers to commence action on Tuesday and on the basis that we are not going to read what we have discussed in confidence with the Board, half an hour later on the internet.
We look forward to your urgent response.

Southall is clearly a bully, who thinks it acceptable to go around threatening people, including out brilliant directors. The man is truly a reptile, who lies and threatens every from Charlton fans to builders, because that is the true character of the money, he claimed Charlton fans lied about his behaviour and stealing from the club to quote one director, he never did, he lied about the major director not having passed the EFL 'F & P' test. The deadline for proxy votes to be received was 7pm last night, judd.
As they say on the telly: "THE VOTES ARE IN!" |
So following it through logically, and I admit I may be wrong:
1) no transfer of shares have been made to the club by MH or ‘f@ckhall’so as far as the club are concerned the voting rights lie with the original owners (subsequently referred to as the traitors)
2) if the traitors want to give voting rights to a 3rd party they would have to submit a proxy to the club. If we are led to believe no proxy has been received, therefore the only people who can legally cast a vote in the EGM are the traitors
3) in order to cast a vote in the EGM the traitors would have to show up in person on Wednesday for their vote to be counted ……………

Practically, anyone turning up on Wednesday purporting to be representing Morton House is either going to be:
* Faical Safouane - a statutory director
* Denise Valarie Courtnell - a statutory director
It can't be a proxy (unless a form has been lodged).
Either statutory director party is going have to bring their passport, their birth certificate and a letter from their Mum proving it is them.
Then, they are going to be faced with 300+ Rochdale fan shareholders who are in a room to listen to the club's Board and who, lets face it, haven't had the greatest experience with the payroll brand that is Morton House.
After that, they'd get to vote. |  |

I eagerly await to see if his bluster comes to anything. I really doubt it will. In which case his credibility as a businessman will sink to new depths.
He is a legend only in his own mind. Until he draws his last breathe nobody in football will ever respect him or his values and the sooner he realises that and moves on to try and discover a better set of values to live by, the better for him and the club.
